Terms and conditions

Introduction
These terms and conditions are entered into between Meresalg ApS, CVR no.: 35142460, Dalbygade 40b, 2nd floor, 6000 Kolding ("MS") and ("the customer").

MS system
Orders are placed through the MS system, where prices are noted in a separate order sheet on the day of the order. All prices in the system are exclusive of VAT. Invoicing can be done either monthly or upon order placement, depending on what has been agreed in writing. MS reserves the right to adjust the prices and pricing model in the system at any time.

Unless otherwise stated, MS guarantees that services will remain online for 24 months. After this period, the customer cannot claim compensation, as stated under the point "Delivery".

Subcontractor
MS can use subcontractors to deliver releases on media.

Delivery
If a service cannot be provided due to circumstances for which third parties (e.g. publishers) are responsible, or if it cannot be provided within the agreed time frame, the customer will receive a credit note or compensation in the form of a release on an equivalent medium. This must be agreed in writing between the customer and MS.

Guarantees and warranties
MS makes no guarantee that the service will lead to increased revenue or other results, such as increased organic traffic.

The Customer accepts that MS is not obliged to deliver a service within a maximum number of days, but recognises that some services may take longer. However, MS is obliged to inform the customer within a reasonable time if there are challenges with the delivery. Reasonable time is defined as a maximum of 14 days without response.

Responsibility
The parties are liable for damages under Danish law for any loss suffered by the other party, subject to the limitations below. MS cannot be held liable for indirect losses, including operating losses, loss of time or costs associated with the customer's choice of MS as supplier. MS's liability is in any case limited to the value of the order.
